These Terms & Conditions of Purchase are an integral part of
Purchase Orders (POs) which apply to all PPI purchased Supplies &
Materials (Materials includes Base Material / Laminate & Prepreg,
Soldermask Inks, Solder, OSP, Legend
& Marking Inks, Metal Anodes (Cu & Ni) & all Chemistry (Au,
Electroless Cu, ENIG & IS) which becomes an integral parts of our
product (Printed Circuit Boards). They form an agreement between PPI
(Buyer) & Supplier (Seller).

Pricing & Title: Unless otherwise noted, the prices shown on any

Delivery: Seller shall deliver purchased goods at the place, dock
date & time as specified on this Purchase Order. If Seller fails to
meet the schedule, Seller becomes responsible for all costs incurred
by Buyer due to late delivery. If partial shipments are made, Seller
becomes responsible for cost of shipment including overnight
shipment as Buyer required.

Reschedule & Termination: Buyer may reschedule any shipment (date or
quantity) without liability. Buyer may terminate all or part of any

Base Materials Suppliers certifies that no polybromobiphenyls (PBB)
or polybromodiphenylethers (PBDE) or polybrombiphenylethers (PBBE)
or Pentabromodiphenyl ether (PentaBDE) or Octabromodiphenyl ether (OctaBDE)
or Decabromodiphenyl (Deca-BDE) are used in the manufacture of their
product. Seller also states that they will immediately advise Buyer
if they ever do. All C-Stage Laminates must be post baked or
stress-relieved in press. Packages must be marked if material is
baked &/or beveled. All B-Stage (Prepreg) must show an “Expiration
Date” that reflects a date approximately 6-months into the future
(Test data shall be on record to support the expiration date shown).

All materials used in the manufacturing of Supplier’s product shall
satisfy current government and safety constraints on restricted,
toxic and hazardous materials; as well as environmental, electrical
and electromagnetic considerations.

Latest Revision Safety data sheets are required with these supplies
& materials.

Both PPI & their Customers have the right to verify/inspect/audit
purchased product from our suppliers / vendors on their premises.

Warranty: Seller warrants that product
shipped in response to PPI POs are free from all defects in
materials & workmanship and that product complies with all drawings,
specifications & PO requirements. If Seller's product is found to be
defective, Buyer shall have the option of having Seller
replace and/or sorting by Seller or Buyer and/or replacement by
sources other than Seller, of defective product, all at Sellers
expense. Seller is responsible for all subsequential damages &
liabilities incurred by Buyer as a result of shipment of defective
product.
SPECIAL NOTE: Supplies or Material supplied under any PPI
Supplier’s Confidentiality Agreement with Philway:
Certain PPI document that you may have
received & future documents you may receive contain Confidential
and/or Proprietary Information. Receiver of this information agrees
that any and all information furnished by PPI from the effective
date of any

their organization on a need to know basis and will identify such
information as confidential to such persons.
2. May not be duplicated without specific authorization from
Philway.
3. Will be stored in a safe location within the organization &
returned or destroyed upon advise from Philway products to do so.
4. Any questions regarding this document or the information
contained within shall be directed to the sender of this document.
5. Under no circumstances, except with the directed written consent
of Philway, are Philway's Customer's or Sales Representatives to be
contacted nor any of the information contained within discussed with
them or any other unauthorized person(s).
6. Philway's Terms & Conditions of Purchase apply in event of a
Purchase Order.

Terms & Conditions of Purchase for Outside
Services, Processes or Work.
All vendors & suppliers providing value added services or processes
(such as testing, plating or coatings, etc) whereby the service or
work provided is performed on product, that Philway has provided:
warrants that all services/processes/work provided are:
1. Free from defects in materials & workmanship
2. Certifies that all required specifications have been met
3. Accepts full responsibility for any damage to the the product
provided by Philway. Philway may, at it's discretion, request rework
and/or replacement of product (from the vendor or supplier, free of
charge to Philway) and/or reimbursement for any & all costs or
subsequential charges or liabilities incurred by Philway as a result
of and/or related to damaged product and/or defects in workmanship
by the supplier.
Terms & Conditions of Purchase for
REACH
(Registration,
Evaluation, Authorization & Restriction of Chemical).
PPI has no direct responsibility as we are
not a European Manufacturer or Importer, but we do have
responsibility as a "Downstream Article Supplier" when so requested
to supply information to our Customers. As Downstream Article
Suppliers to PPI Sellers shall furnish PPI (as requested) documents
certifying to REACH compliancy
Terms & Conditions of Purchase for
RoHS (European Union’s Restriction on Hazardous
Substances).
The RoHS Directive (Directive 2002/95/EC), which was finalized by the European Parliament and the Council of the European Union on January 27, 2003, bans the placement of new electrical and electronic equipment (EEE) containing lead, cadmium, mercury, hexavalent chromium and both polybrominated biphenyl (PBB) and polybrominated diphenyl ether (PBDE) flame retardants starting July 1, 2006. Subsequently polybrombiphenylethers (PBBE), Pentabromodiphenyl ether (PentaBDE), Octabromodiphenyl ether (OctaBDE) & Decabromodiphenyl (Deca-BDE) were also listed. Suppliers to PPI shall furnish PPI (as requested) documents certifying to RoHS compliancy.
All PPI Suppliers (as applicable above) acknowledge & accept the
preceding PhilwayTerms & Conditions of Purchase. Suppliers also
agree to verify Philway's website
www.Philway.com for revisions of this document, which may occur
in the future, and notify Philway if they take exception to them.
